Terms and Conditions for Localflow

Welcome to Localflow! These Terms and Conditions ("Terms") govern your use of the Localflow platform and services ("Services") provided by Enrich Services (Private) Limited, Registration Number PV 00220963 ("Localflow," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Description of Service

Localflow is a modern workflow management platform designed to simplify and modernize how travel professionals run their operations. Our platform provides tools for managing itineraries, pricing, quotations, and team collaboration.

2. User Accounts and Single Sign-On (SSO)

To use our Services, you must create an account. You can do this by using your existing Google or Microsoft account through Single Sign-On (SSO).

• Account Creation: By using SSO, you authorize us to access and use certain information from your Google or Microsoft account, including your name, email address, and profile picture, to create your Localflow account.
• Account Responsibility: You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Content and Data Ownership

Localflow allows you to upload, create, and manage content such as itineraries, pricing information, client data, and other materials ("User Content").

• Your Ownership: You retain full ownership of all User Content you create or upload to Localflow.
• License to Localflow: By uploading User Content to Localflow, you grant us a non-exclusive, worldwide, royalty-free license to host, store, and process your User Content to provide the Services; display your User Content within the platform for you and your authorized team members; and use aggregated or anonymized data derived from your User Content to improve our Services.
• Sharing with Team Members: If you invite team members or clients to access your content, you are responsible for ensuring you have the right to share that content with them.
• Deletion: If you delete your account or specific User Content, we will remove it from our active systems. However, we may retain backups for a limited period for data recovery and legal compliance purposes.

4. Google and Microsoft Calendar Integration

Our Services may allow you to connect your Google or Microsoft Calendar to your Localflow account. This integration is optional and requires your explicit consent.

• Purpose: If you choose to connect your calendar, we will use this access solely to help you manage schedules, check availability, and coordinate itineraries within the Localflow platform.
• Data Handling: We will handle your calendar data in accordance with our Privacy Policy. We will not share your calendar information without your consent.

5. User Conduct

You agree to use our Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes:

• Using the Services for any fraudulent or illegal purpose.
• Uploading or sharing any content that is unlawful, harmful, or violates the rights of others.
• Attempting to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of our Services.
• Uploading content that infringes on intellectual property rights of third parties.

6. Intellectual Property

All intellectual property rights in the Services, including the platform, website, and its content, are owned by or licensed to Enrich Services (Private) Limited. You may not reproduce, distribute, or create derivative works from any part of the Services without our express written permission.

7. Termination

• By You: You may terminate your account at any time by contacting us at hello@localflow.travel.
• By Us: We may suspend or terminate your access to our Services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

8. Disclaimers and Limitation of Liability

Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, Enrich Services (Private) Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our Services.

Liability Cap: In no event shall our total liability to you for any claims arising from or related to these Terms or your use of the Services exceed the greater of (a) the total amount of fees paid by you to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD 100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Enrich Services (Private) Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your User Content or any content you upload
• Your infringement of any third-party intellectual property rights

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
